Un método comúnmente utilizado por las empresas hoy en día para expandir sus acciones en el mercado es la asignación preferencial. Cuando las acciones se ponen a disposición de un determinado conjunto de personas y empresas ( seleccionadas mediante un procedimiento adecuado ) a un precio decidido anterior a -, se conoce como asignación preferencial.
Es una forma fácil y rápida de recaudar efectivo y capital. Los inversores se convierten naturalmente en partes interesadas de la empresa. Pueden hacerlo a precios razonables y moderados, en lugar de tener que comprar acciones más grandes del mercado de acciones. Este suele ser el incentivo que se les ofrece.
Diferencia entre asignación preferencial y colocación privada
La asignación preferencial es bastante similar en naturaleza a la colocación privada y las dos a menudo pueden confundirse. Ambos involucran un conjunto específico de inversores elegidos por la compañía y la oferta de acciones en privado. Sin embargo, hay una muy buena diferencia entre los dos términos. Las diferencias se enumeran de la siguiente manera.

- Existen pautas de precios mínimos y otras leyes que determinan qué personas o empresas pueden ser elegibles, cuántas acciones deben emitirse y a qué precio.
- También hay un límite en el número de inversores asignados que se pueden elegir a la vez, generalmente no más de cincuenta.

Ventajas de la asignación preferencial

Desventajas de la asignación preferencial
- Los accionistas preferenciales no disfrutan de los mismos derechos (, como los derechos de voto ) que los accionistas existentes, y por lo tanto nunca pueden estar a la par.
- Antes de establecer el límite mínimo de precios y establecer otras pautas, se sabía que las compañías valoraban acciones financieramente lucrativas a precios exorbitantemente altos.
